DEFINITIONS OF TERMS CONTAINED IN THE REGULATIONS

§ 1

  1. Regulations  – this document specifying the rules for the provision of services involving the possibility of Users using the Wholesale Store www.gregorio.com.pl/hurtownia, including the method and conditions of concluding contracts for the sale of goods within the Wholesale Store, as well as technical activities aimed at concluding them. The legal basis for the creation of these Regulations are the provisions of the Act of July 18, 2002 on the provision of electronic services (Journal of Laws 2002, No. 144, item 1204, as amended).
  2. Wholesaler  – run by:  Trading Company “GREGORIO”  with headquarters:  43-516 Zabrzeg ul. Widna 1 . The open website (website), run in the domain www.gregorio.com.pl, is conducted in Polish and enables the conclusion of online transactions, through which – under these Regulations and after meeting its conditions – the User concludes contracts for the sale of goods posted on this website.
  3. Seller:  Trading Company “GREGORIO”  with headquarters:  43-516 Zabrzeg ul. Widna 1.
  4. Buyer  – a natural person, a legal person, an organizational unit, meeting the conditions specified in these Regulations, who has registered in the Wholesaler and, therefore, has declared their willingness to use the services offered therein. The Buyer may only be an adult natural person with full legal capacity, as well as a legal person or an organizational unit without legal personality but with legal capacity and capacity to perform legal acts, which has registered and as a result of which it obtained the ability to place orders for goods offered in within the Wholesale Store in the manner specified in these Regulations.
  5. User  – a natural person, a legal person, an organizational unit, meeting the conditions specified in these Regulations, who has registered in the Wholesaler and, therefore, has declared their willingness to use the services offered within it. The User may only be an adult natural person with full legal capacity, as well as a legal person or an organizational unit without legal personality but with legal capacity and capacity to perform legal acts, which has registered and as a result of which it obtained the ability to place orders for goods offered in within the Wholesale Store in the manner specified in these Regulations.
  6. Sale or Sales Agreement  – a legal act regulated by the provisions of Art. 535-581 of the Act of April 23, 1964, Civil Code (Journal of Laws of 1964, No. 16, item 93, as amended), and if the buyer is a Consumer, also the provisions of the Act of March 2, 2000 on protection of consumer rights and liability for damage caused by a dangerous product (Journal of Laws 2000, No. 22, item 271, as amended) and the Act of July 27, 2002 on special conditions of consumer sales and amending the Civil Code (Journal of Laws 2002 No. 141, item 1176, as amended), which takes place between the Seller and the Buyer after meeting the conditions specified in these Regulations.
  7. Consumer  – a natural person referred to in Art. 221 of the Act of April 23, 1964, Civil Code (Journal of Laws 1964, No. 16, item 93, as amended), i.e. only a natural person who performs a legal act not directly related to his or her business or professional activity.
  8. Entrepreneur  – a person who performs a legal transaction in connection with business activity.
  9. Order  – information automatically generated in the Wholesale after pressing (“clicking”) the “Order” option, specifying the content and terms of the contract that will be concluded as a result of accepting the offer. The order contains in particular information about the rules and terms of payment, the rules of transport of goods and related costs, and the deadlines for order completion. Depending on the type of the Seller’s offer, the Buyer may specify in the order the form of payment, as well as the rules and costs of transport;
  10. Shopping cart  – a system tool that streamlines purchases via the Wholesale Store by Users, has the ability to collect placed orders in such a way that they are visible at the same time, and also enables monitoring the size (value) of orders placed.
  11. Acceptance of the offer  – technical activities of the Buyer, resulting in the conclusion of a sales contract between the Buyer and the Seller regarding the goods offered by the Seller.

GENERAL PROVISIONS OF THE REGULATIONS

§ 2

  1. The Regulations specify the terms and conditions of sale by the GREGORIO Online Wholesaler, which sells goods via the Internet, in the form of a distance contract between the person placing the order (Buyer) and the “GREGORIO” ONLINE WHOLESALE (Seller).
  2. The scope of activity of the online wholesaler at: www.gregorio.com.pl/hurtownia is the sale of leather goods.
  3. Using the Wholesale Store is possible while maintaining the technical requirements for correctly placing an order within the Wholesale Store.
  4. When placing an order, the Buyer should read the regulations of the GREGORIO online wholesale store and confirm that he or she has read the regulations in question by accepting them in the applicable form.
  5. The Seller’s offer is addressed to all Wholesale Users.
  6. The offer may contain additional provisions of the future contract, including the price payment deadline, rules for bearing transport costs and order completion dates.
  7. When considering accepting the Seller’s offer, the User undertakes to pay special attention to the price and payment rules (e.g. by transfer via banking systems, cash on delivery, etc.) as well as the rules for incurring transport costs and the deadline for order completion.
  8. The offer is binding on the Seller for the period indicated therein or until revoked. The offer is revoked by removing it from the Wholesaler. The Seller cannot revoke the offer after the Buyer has confirmed the order. The Seller is entitled to change the content of the offer until the order is confirmed by the Buyer, including, in particular, the price of the offered goods.
  9. The order will be processed provided that the goods are available in the warehouse or from wholesale suppliers. In the event of unavailability of some of the goods covered by the order, the Customer is informed about the status of the order and decides on the method of its implementation (partial implementation, extension of waiting time, cancellation of the entire order).

USER REGISTRATION

§ 3

  1. The User wishing to use the Wholesaler’s services must first register. The result of properly carried out Registration is the creation of an Account for the User.
  2. Registration requires the User’s acceptance (acceptance) of the terms and conditions of the Regulations.
  3. Registration is carried out by the User completing the registration form available at www.gregorio.com.pl. The scope of data necessary to carry out Registration and, as a result, create an Account includes at least the User’s indication of a current e-mail address (e-mail address) and providing the User’s own name and password freely chosen by the User, with which the User will log in to the Account.
  4. The Seller is not liable for any damages or actions resulting from the User’s disclosure to other entities of the password referred to, among others, in § 3 point 3 of these Regulations. If the password is shared or obtained by other entities, the User undertakes to cover all amounts due for orders placed using the login and password of this User.
  5. The User has the right to change his password by submitting an appropriate instruction in his Account.

PERSONAL DATA AND THEIR PROCESSING

§ 4

  1. If you want to place an order for goods, the User is obliged to provide the following data:
    1. name and surname, and in the case of legal persons or organizational units, name or company name,
    2. address of residence or registered office (in the case of legal persons or organizational units) with the exact city and postal code, street along with the building and premises number,
    3. contact telephone number,
    4. NIP and REGON number – in the case of entities conducting business activity,
    5. KRS number – if the User is subject to the obligation to enter the National Court Register,
    6. address to which the ordered goods are to be delivered,
    7. one of the price payment methods selected by the User, indicated in these Regulations.
  2. The processing of Users’ personal data takes place with their consent, as well as on the basis of statutory authorization to process data that is necessary to provide the services provided by the GREGORIO online wholesale store.
  3. Providing any personal data by the User is voluntary.
  4. Providing the data specified in § 4 section 1 of the Regulations is necessary to be able to submit declarations of acceptance of the Seller’s offer within the Wholesale Store. By providing the above-mentioned data, the User consents to their processing by the Seller under the conditions specified in these Regulations and the provisions of applicable law.
  5. By registering, the User consents to the storage and processing of personal data provided in the registration form and collected on his Account.
  6. The information and messages referred to in point 4 will be sent to Users to the e-mail address or address of residence/registered office indicated during registration.
  7. The User is obliged to thoroughly verify the provided data before placing an order for goods. The User is fully liable to the Seller for providing false, incomplete or outdated data referred to in § 4 of the Regulations.

PLACING ORDERS AND PRICES OF GOODS

AND PAYMENT TERMS

§ 5

  1. In the case of cash on delivery orders, the acceptance of the order for processing begins after the wholesaler receives an e-mail from the customer confirming the order. The execution of orders paid by transfer begins after funds in the amount corresponding to the purchase price of the ordered goods and shipping costs are transferred to the wholesaler’s bank account.
  2. A limited number of goods are intended for promotional sales and sales, and orders are processed in the order in which confirmed orders for these goods are received, until stocks covered by this form of sales are exhausted.
  3. A RECEIPT is issued for each order. A VAT invoice is issued at the customer’s request and is issued when all the goods ordered by the customer are completed and ready for shipment. The invoice is sent electronically.
  4. The customer may make changes to the order until the invoice is issued. The customer may withdraw the order in its entirety until it is shipped. The above changes can be made by contacting the Customer Service Office by e-mail at  marcin@gregorio.com.pl
  5. All prices are given in Polish zlotys. Prices include 23% VAT. The price given for each product is binding at the time the customer places the order. The wholesaler reserves the right to change the prices of goods on offer, introduce new goods to the online wholesaler’s offer, conduct and cancel promotional campaigns on the wholesaler’s website or make changes to them. Delivery costs will be included in the prices of the goods in proportion to their value. The goods are delivered in the manner chosen by the customer and specified in the order.
  6. Pursuant to the Act of March 2, 2000 “On the protection of certain consumer rights and liability for damage caused by a dangerous product”, the customer may cancel the goods purchased in our wholesaler without giving a reason within 10 days from the date of receipt of the shipment. This is only possible if the goods have not been used and have not been damaged in any way. The returned goods should be sent back together with the invoice or receipt received with it. The wholesaler guarantees a refund of an amount equal to the price of the goods. The money will be refunded within 5 business days by bank transfer to the account indicated by the customer or by postal order to the address indicated in the order. The cost of returning the goods is non-refundable.

SELLER’S LIABILITY

§ 6

  1. All goods available in the wholesaler are covered by a manufacturer’s warranty for 24 months from the date of purchase of the goods.
  2. If, after receiving the goods, the customer finds technical defects or damage during delivery, he or she should return them by post to the wholesaler’s address. The wholesaler does not accept any shipments sent cash on delivery. The costs associated with returning the complained goods are reimbursed by the wholesaler immediately after receiving the shipment and considering the complaint. The returned goods must be accompanied by an invoice with the “complaint” section completed. All complaints are considered within 14 days of their receipt at the latest. Damaged goods will be replaced with another, full-value one, and if this is no longer possible (for example due to stock being out of stock), the wholesaler will refund the buyer the equivalent of the product price or offer him other goods available in the wholesaler to choose from.

FINAL PROVISIONS

§ 7

  1. The law applicable to the contract for the sale of goods via the Wholesaler concluded between the Buyer and the Seller will be exclusively Polish law. The contract for the sale of goods is concluded in accordance with Polish law and in the Polish language between the Customer and FH Gregorio. The essential provisions of the concluded contract are recorded, secured and made available by printing and sending the VAT invoice or order specifications to the customer along with the shipment.
  2. The court competent to hear disputes that may arise in connection with the sale of goods by the Seller via the Wholesaler is the local court in accordance with the provisions of the Code of Civil Procedure.
  3. These regulations are available at  www.gregorio.com.pl/regulamin.pdf . The regulations are available for download in PDF format.
  4. Registration by the User constitutes acceptance of these Regulations.
  5. The Seller reserves the right to make changes to these Regulations, and its valid version will be posted each time on the wholesaler’s website.
  6. Any changes to these Regulations enter into force on the day of their publication in the manner described in § 7 section. 5, provided that the amended provisions of the Regulations do not apply to the execution of orders placed before the introduction of these changes.
